Structure

The structure in plain words

  1. 01SLC establishes a wholesale trust and acts as its trustee.
  2. 02Wholesale investors subscribe for units in the trust.
  3. 03The trust invests in your project SPVs, through units or redeemable preference units.
  4. 04Your manager entity is appointed as SLC’s corporate authorised representative and investment manager under an investment management agreement.
  5. 05Each project can sit in its own SPV, so investors can see which project they are exposed to. Projects can be offered as separate series or classes.

Our role

What SLC does

  • Acts as trustee and issuer of the fund.
  • Holds the AFSL under which interests are dealt and arranged.
  • Establishes the fund and CAR documents.
  • Reviews and clears the information memorandum and all marketing.
  • Supervises your business as a CAR under our published framework.
  • Provides registry and fund administration.

Your role

What you do

  • Source, deliver and report on the projects.
  • Raise capital from wholesale investors. SLC does not bundle distribution.
  • Run AML/KYC on your investors.
  • Provide the monthly compliance pack and attend quarterly meetings.

Context

Why it matters now

ASIC has named construction and development funds its greatest priority within private credit (REP 814, 22 September 2025). Its 2026 review found property development particularly exposed. Developers raising wholesale capital should expect closer scrutiny of governance, valuations and disclosure. The programme is built for that scrutiny.

Fit

Who it suits

  • Developers with a track record and a defined pipeline.
  • Raises from wholesale and sophisticated investors only.
  • Developers who want a trustee and licence host rather than their own AFSL, for now.

Perimeter

Who it does not suit

  • Any raise from retail investors.
  • Developers who want the trustee to raise capital for them.
  • Projects we cannot diligence.

Process

How it works

  1. 01Initial call and readiness check.
  2. 02Written proposal confirming the fees.
  3. 03Mandate signed.
  4. 04Documents drafted, diligence completed and training delivered.
  5. 05CAR appointment and ASIC notification.
  6. 06IM cleared and first close.

The process typically takes four to six weeks from mandate to authorisation, depending on document delivery and execution.

Documents may be prepared by GRM LAW. Gavin McInnes, SLC’s Managing Director, is Founding Partner of GRM LAW. You may nominate your own lawyers where there is no conflict.

Fees

Fees

Our standard schedule is published on Fees. A written proposal confirms the fees for your programme. Developers lending rather than investing equity should read the Secured Lending Programme.
